Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you”, “merchant”) and Mashup(“Mashup”, “we”, “us”) and govern your installation and use of the Mashup application (the “App”) on Shopify, your use of our website at www.mashupai.io, and any related services we provide (collectively, the “Service”).

By installing the App, creating an account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not install or use the App.

By installing the App, you authorize Mashup to access your Shopify store through Shopify’s authorized APIs and to read and write the data necessary to operate the Service. You are responsible for maintaining the confidentiality of your store credentials and for all activity within your account.

If you are a competing business, a software company building a substantially similar product, or an agent acting on behalf of either, you are prohibited from accessing, evaluating, scraping, reverse-engineering, or copying any part of Mashup or its ecosystem. Violations will be treated as intentional infringement and we reserve the right to pursue legal action, including injunctive relief and damages.

6. Intellectual Property

Our IP. All content, features, and functionality of the App — including the underlying software, design, templates, theme sections, Liquid snippets, AI prompts, training data, trademarks, logos, and AI orchestration systems — are the exclusive property of Mashup or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the App solely for the purpose of operating your own Shopify store(s). You may not duplicate, rebrand, resell, sublicense, or otherwise reproduce any part of the App without our prior written consent.

Your content and generated output.As between you and Mashup, you own the product data, brand materials, and prompts you submit (“Inputs”) and the AI-generated copy, imagery, and page outputs delivered to your store (“Outputs”). You grant Mashup a worldwide, royalty-free license to host, process, and display Inputs and Outputs as needed to provide the Service. You are solely responsible for ensuring you have the right to use the Inputs you submit and for verifying that the Outputs are accurate, non-infringing, and suitable for your store before publishing.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to:

8. Service Availability & Downtime

We work to keep the App available and performant, but we do not guarantee uninterrupted service. We may suspend, throttle, or temporarily terminate access for scheduled maintenance, urgent security work, or unforeseen technical issues.

We are not liable for any loss of revenue, sales, traffic, data, rankings, or business opportunity resulting from downtime, performance issues, or third-party service disruptions.

9. Third-Party Services

The App relies on third-party services to operate, including but not limited to Shopify’s APIs and Billing, third-party AI model providers (e.g. Anthropic, Google), hosting providers, error monitoring, and transactional email services. We are not responsible for the availability, accuracy, or practices of these third parties, and your use of them may be subject to their own terms.

We may suspend or terminate your access to the App at any time, with or without notice, for any reason including but not limited to:

Upon termination, your right to use the App ceases immediately and we may delete your data subject to the retention rules described in our Privacy Policy. You may also uninstall the App at any time from your Shopify admin; uninstalling cancels your subscription for future billing periods but does not entitle you to a refund for the current period.

To the maximum extent permitted by applicable law, Mashup and its officers, directors, employees, and agents shall not be liable for:

The App is provided on an “as is” and “as available” basis, without warranty of any kind, express or implied. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

You are responsible for reviewing all AI-generated content before publishing it to your storefront and for ensuring it complies with applicable laws, advertising standards, and Shopify policies.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to merchant account owners and/or in-app notice at least 30 days before they take effect. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms. The “Effective date” at the top reflects the most recent revision.

14. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law principles. The exclusive venue for any dispute arising out of or related to these Terms or the App shall be the state and federal courts located in Ohio, and you consent to personal jurisdiction there.
